IRC Legal is a boutique transactional firm on Long Island. I'm Ian R. Cohen: 17+ years of practice, 500+ closed transactions, more than $3 billion in aggregate deal value.

I handle buy-side and sell-side M&A for founders, operators and investors, and I serve as outside General Counsel for companies that need senior judgment without carrying a full in-house team. Asset and stock purchase agreements, LOIs and term sheets, due diligence, disclosure schedules, commercial contracts, corporate governance, and the negotiation that decides how risk actually gets allocated.

I spent nearly a decade at Schulte Roth & Zabel and BakerHostetler. Then I went in-house as General Counsel of a technology company that took private equity money, came close to going public, and then went bankrupt. I guided it through every phase. That experience is why I understand what founders actually face. Not from 30 floors above Manhattan, from the trenches.

I also work at the intersection of corporate law and digital assets. IRC Legal holds bitcoin on its balance sheet, accepts bitcoin for legal fees, and I filed to appear as amicus counsel in New York Supreme Court on a matter concerning ownership of dormant bitcoin wallets.
